Welcome to G&U Studios. These Terms and Conditions (“Agreement”) govern the relationship between G&U Studios (“Agency,” “we,” “us,” or “our”) and the client (“Client,” “you,” or “your”) for the provision of web design, e-commerce development, business automation, and related digital solutions.

By paying your deposit or initiating a project with us, you agree to be bound by these terms.

1. Payment Terms & Project Lifecycle

  • Deposit & Final Payment: All projects require a two-payment structure. A non-refundable deposit is due via a secure Square payment link to initiate development. The second and final payment is due immediately upon project completion and before the final website is handed over or launched live.
  • Additional Service Signup Fee: We integrate third-party tools (e.g., Zoho Mail, Calendly) to build your business infrastructure. If the Client declines or fails to follow our guidance to sign up for required external services during the initial build phase, an additional $40 fee will be charged per instance to go back, configure, and integrate those systems later.

2. Client Delays and Content Submission

  • The “Keep Moving” Policy: To maintain project timelines, the Client must provide all requested text, assets, and images promptly. If the Client delays providing assets, G&U Studios reserves the right to use placeholder stock images and standard layouts to complete the website build.
  • Delay Penalities (Support Penalty): If a project is delayed due to Client responsiveness, the website will be completed using stock assets, and any outstanding custom edits or delayed client content integrations will automatically be deducted from and pushed into the Client’s 60-day post-launch support window.

3. Revisions and Project Sign-Off

  • Unlimited Revisions: We offer unlimited revisions during the active design and development phase to ensure your satisfaction.
  • Scope of Active Revisions: “Unlimited revisions” applies strictly to the active development phase prior to final project completion. Revisions must align with the original project scope and cannot be used to request completely new design directions or entirely different website structures once a layout has been approved.

4. 1-on-1 Training (“In the Driver’s Seat”)

  • Training Structure: To ensure you have complete command of your digital assets, G&U Studios includes customized 1-on-1 training. This is strictly capped at a maximum of two (2) Zoom sessions.
  • Session Duration: Each Zoom training session will last between 30 minutes to 1 hour. Any additional training beyond these two sessions will be subject to standard hourly consulting rates.

5. 60-Day Post-Launch Support

  • Support Duration: G&U Studios provides 60 days of ongoing support beginning immediately upon project completion.
  • Included Support: Support is strictly limited to minor edits (e.g., small text updates, swapping an image, minor layout adjustments, or resolving minor technical bugs).
  • Excluded Support: Support does not cover major design changes, building entirely new web pages, adding new e-commerce product systems, or re-coding automated workflows. These will be billed as independent project updates.

6. Digital Ownership, Upkeep, and Limitation of Liability

  • Client Digital Ownership: G&U Studios delivers websites built on WordPress and Elementor, ensuring you have 100% digital ownership without forced proprietary platform subscription traps.
  • Client Upkeep Responsibility: Upon final payment and hand-off, the Client assumes 100% legal and operational responsibility for the ongoing upkeep, maintenance, security, domain renewals, and hosting costs of their website.
  • Plugin Update Liability Disclaimer: WordPress websites require consistent core, theme, and plugin updates to remain secure and functional. G&U Studios is explicitly not liable or responsible for broken layouts, database crashes, security breaches, malware, or hacked websites resulting from the Client’s failure to update plugins and software post-handoff.

7. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of law provisions. Any legal actions or proceedings arising out of this agreement shall be handled in the appropriate court closest to the Agency’s primary operating location.

8. Acceptance of Terms

By executing your initial deposit invoice payment link through Square, you acknowledge that you have read, understood, and agreed to be bound by all the terms, boundaries, and payment schedules outlined in this Agreement.
